規約について
当規約(以下本規約)は a2network Management GmbH(以下当社)のお客様によるサービスを含む商品の購入に適応されます。代替のまたは補助的な契約上の合意は当社が明確に文章により合意を示した範囲でのみ適応されるものとします。
著作権等の権利について
当オンラインショップ(以下当サイト)上の文書・写真等、当サイト上に表示される内容はすべて著作権法上の保護対象となっています。著作権法に定められた範囲内において使用する場合を除き、当社に無断で当サイト上の内容を複製、転載、編集、頒布等を行うことは硬く禁止されています。
当サイト上の内容は、予告なしに変更もしくは中止されることがあり、また変更、中止によって生じた事象について、当社は一切の責任を負いません。
商標について
当サイト上に表示される商標、ロゴ、およびサービスマーク(総称して以下"商標")は、当社及び当社との契約に基づき商品サービスを提供するパートナー会社の登録商標または登録出願中商標、未登録商標です。
リンクページの責任について
当社は、当サイトにリンクしている他のいかなるウェブサイトの内容にも責任を負いません。またお客様が他のウェブサイトを使用することから生じるいかなる損害にも責任を負わないものとします。

サービスの停止について
当社は以下のいずれかが起こった場合、お客様に事前に通知することなく、当サイトの提供を一時的に停止できるものとします。
注文について
お客様が購入フォームに基づきデータを送信された時点で発注が完了したものとし、当社より注文確認番号が発行された時点で売買契約が完了します。
商品のパーソナライズ(お客様向け個別設定)について
注文の成立と同時に、お客様は当社に対し、当社がお客様との合意に基づき当社にてお客様が購入された商品梱包を開梱、当社のサービスをすぐに受けることができるように携帯電話のパーソナライズを行うことを認めるものとします。また、お客様は、パーソナライズがお客様のご依頼に基づくもので、パーソナライズ後の商品の返品が出来ないこと理解し商品の購入を行ったものとします。
返品について
当サイトにて取り扱う「携帯電話」ならびに「SIMカード契約」は売買関係が成立した後、お客様との合意に基づきお客様専用機としてのパーソナライズ(個別設定)を行います。従い、その商品の性格上、製造過程における瑕疵を除き、原則、返品、交換はお受けできません。
購入いただいた商品に不具合があった場合のみ、未使用品に関しては代替品の送付にて対応をさせていただきますので、商品受取後14日以内に当社まで不具合内容を具体的に明記しe-mailまたはfaxにてご連絡ください。お客様がこの作業を怠った場合には一般の不具合として修理にて対応させていただくことになりますゆえご注意ください。
商品の発送について
商品の配送は以下の業者を利用します。
ベルギー: United Parcel Service Deutschland Inc.&Co.OHG または DHL Express Vertriebs GmbH & Co.OHG
当社利用の配送業者の事情により発生する配送の遅れ及び紛失などのトラブルは当社利用の配送業者の利用規定に従うものとし、当社はその責任及び損害賠償義務を負うものではありません。また、当社が荷物を発送した後の配送に関するトラブル及び荷物の再配送等の依頼も含め、配送に関するお問い合わせは同社へ直接連絡いただけますようお願いいたします。
なお、商品の配送には保険がかけられていますので、商品到着時、商品の破損が明らかな場合、商品を配達したドライバーの認証サインを取得ください。このサインが無い場合、配送業者への証明が行なえない場合がありますのでご注意ください。
価格
価格はサイトの発注フォームの表示された金額が適応されます。合計の金額には販売国における付加価値税、お支払いは請求書に記載された金額を割引くことなくクレジットカードまたは送金等によりお支払いいただきます。
お支払い方法
クレジットカードによる決済を指定されたお客様は当社が決済に必要な情報を当社が「当社の個人情報取り扱いに関する考え方」に基づき取り扱うことに同意したものとし、お客様が購入された商品及びサービスの代金、ご利用料金は、お客様がご指定されたクレジットカードに課金されるものとします。実際のお支払い日は、お客様のクレジットカード会社とのご契約により異なります。
また、月額通信料及び月額課金サービス対象の有料コンテンツ及びサービスのご購入にかかわる代金及びご利用料金に関してもお客様は同様の扱いを承諾し、毎月自動的にお客様により指定されたクレジットカードに課金されることに同意したものとします。
変更の届出
お客様は当社に対する届出内容に変更があった場合には,速やかに当社所定の方法で当社に対して変更の届出をするものとし、お客様が本条に定める変更の届出・通知を怠ったことにより,不利益を被ったとしても,当社は一切その責任を負わないものとします。
利用明細書
当社より発行する利用明細書はオンライン利用明細として発行するものとし、別途利用明細書の郵送等による発行を希望されるお客様へは当社による明細書の有料発行サービスを利用するものとします。
支払の遅延
お客様による代金、利用料金などのお支払いが指定日までになされなかった場合は,当社は直ちに当社がお客様に対し提供するすべてのサービスの提供を一旦停止することができるものとします。
また、その場合にはお客様は当社からの請求に従い未支払の代金、利用料金などを当社の指定する方法によって支払わなければならないものとします。お客様が当社に届け出た連絡先への連絡がとれない場合,または,当社が指定する日までに入金が確認されなかった場合は,当社は会員の資格を取り消し,退会扱いとすることができるものとし、お客様は支払期日の翌日から支払の日の前日までの日数に当社規定の割合で計算される延滞利息及び再請求手数料を,代金、利用料金などの債務と一括して,当社が指定する方法で支払うものとします。また支払いに必要な振込み手数料などの費用はすべてお客様負担とします。
業務委託
当社は、本サービスの業務の全部または一部を当社の責任において第三者に委託することが出来るものとします。
条項の無効について
当規約の一部が無効となった場合においても当該条項を除く当規約の有効性が影響を受けることはありません。
個人情報の保護について
当社は、お客様の個人情報保護を重視し、その個人情報が当社とお客様の合意に基づく目的以外に利用されることがないように情報管理に努めています。

免責
当社は本規約で特に定める場合を除き、当社の利用もしくは利用不能によりお客様に生じた損害につき、一切責任を負わないものとします。
規約の変更
当社は合理的必要性に基づいて本規約を変更できるものとします。
準拠法
お客様と当社間の法的関係は唯一ベルギー王国の法律が適応されます。
本規約に関する解釈に関してはベルギー王国法を適用するものとし、本規約に関し発生する紛争に関してはブリュッセル 裁判所を所轄裁判所とします。

当社の個人情報の取り扱いに関する考え方について
当社は、お客様の個人情報保護を重視し、その個人情報が当社とお客様の合意に基づく目的以外に利用されることがないように情報管理に努めています。
また、当社は、悪意を持った個人情報への不正アクセス、紛失、破壊、改ざんおよび漏洩などに関し予防措置を講ずるとともに、万一の発生時には速やかな是正措置を実施いたします。
当社ではお客様より提供された個人情報 (氏名・住所・電話番号・メールアドレス・性別・年齢・生年月日・クレジットカード番号等)を厳重に管理し、以下に定める場合を除き、第三者に開示・提供することはありません。
当社では、お客様にサービスを提供するためにクッキー(cookie)を使用します。
クッキーとは諸情報をブラウザー内に保存することで、再入力の手間を省くなどユーザーの利便性を高めることができる機能です。当社の提供するサービスではこのクッキーを利用しますが、これはユーザーの皆様がより便利に当サイトを利用していただくためのものであり、ユーザーの皆様のプライバシーを侵害するものではありません。
お客様は設定によりクッキーの受け入れを拒否することが可能ですが、その場合には当社のサービスを快適に利用できないもしくは一部利用できなくなる場合があります。
Terms and Conditions
1. General / Change of Business Terms
1.1 a2network Management GmbH offers its customers telecommunications services within the scope of the contract agreed on with the customers as well as the conditions and rates according to company’s price list to the following terms of business. Deviating terms of business are not effective.
1.2. a2network will inform its customers via e-mail or internet of any changes related to the general terms of business, price lists or rates information. These changes apply as if approved by the customer unless contradicted in writing or by e-mail within four weeks after communication of the changes.
1.3. The amounts shown in the price list and in the rate information contain, until some other number is provided, the legal sales tax. Regardless of the points 1.2 and 1.4 a2network is entitled to adapt the sales tax around the computational net amount valid in each case.
1.4. If a customer disagrees/contradicts, the contract is continued based on the original conditions.
And informs a2network that a continuation is not possible under the present conditions, the customer can discontinue the contract within four weeks after receipt of this communication in writing. The changes are approved, provided that the customer does not exercise his right to cancel.
A2network expressly points out this information to the customer.
1.5. In the case that merely the conditions or prices of an additional service change, as for example change of the subscription, the customer is entitled to a right to cancel only concerning the additional service changed in each case according to preceding section 1.4.
2. Realization of contractual relationship
The contractual relationship between the parties becomes effective when the customer order (offer) is submitted and once accepted by a2network. The customer is bound by the terms of the customer order (offer) for the period of two weeks.
3. Object of the Mobile radio services
3.1. Access of the mobile radio net and the represented offered services is subject to a mobile radio phone number and a coded SIM card with a personal identification number (PIN).
3.2. The SIM card does not become the property of the customer. Within the first two months after the signing of the contract the customer may request a free spare SIM card in case of damages or malfunctions of the card. After the two months a substitute card has to be paid according to the amount described in the price list.
3.3. Within 2 weeks after ending of the contract the customer has to send back the SIM card at his own expenses to a2network. If the return occurs within given timeframe, a2network will credit the stated reimbursement to the customer.
3.4. a2network points out that if customer causes a blockage of call number lines, customer will not be able to evade this barrier through the use of call forwarding services, e.g. over an information service.
4. Prices, Invoices and Payment Terms
Preliminary translation ? For professional technical translation, additional revisions will be required
4.1. a2network calculates the cost of services rendered according to its price-list. a2network issues invoices on a monthly basis through the a2network on-line invoicing. a2network points out that there could be some invoicing delay, e.g., with use of Internationally Roaming or by delayed transmission of the traffic data by the network operator. Hence, the amount calculated on a monthly invoice does not constitute a waiver by a2network of subsequent late charges.
4.2. a2network directly debits the invoice amounts against the account given by the customers. The customer can ask a2nework for a change of payment method among methods that a2netork permits at any time.
4.3 The direct-debit authorization continues to be valid even after the contractual relationship is terminated in case of an outstanding balance which originated within the scope of the contractual relationship or thereafter between a2network and the customer.
4.4. Debits which are returned for reasons caused by the customers, the customer is obliged to refund the resulting costs to a2network.
4.5. In case of credit card payments, points 4.2 and 4.4 effectively apply.
4.6. If the customer uses several services, the customer may request one invoice for all used services provided the same billing address and account information has been furnished or the same credit card payment has been set up for the purpose of collecting the invoice amounts.
5. Objections
The customer has 10 days to raise objections regarding payment of invoices after receiving the invoice by e-mail. If the customer fails to observe the timeframe the invoice is deemed as approved.
6. Security Services
6.1. a2network is entitled to demand a security deposit before accepting a customer order. Also after
a security deposit can be requested by a2network even after the contract has started in accordance with the general rules.
6.2. The deposit has to be paid in the currency as designated by a2network.
6.3 If the average monthly invoice amount exceeds the security deposit within a period of six months by at least 20%, a2network can demand an increase of the security deposit for the average invoice amount of this period. Accordingly, the customer can request the reduction of the security deposit if the average monthly invoice amount within a period of six months falls about 20% under the granted security deposit.
6.4. a2network is entitled to use the deposit in case of customer’s late payments. In this case the customer is obliged to ‘replenish’ the security deposit to the original amount.
7. Customer Obligations
7.1. The customer has to notify a2network about every change in his contractor information such as his name, address, the legal form of the enterprise pursued by him and the bank information as well as his e-mail address. If the customer omits to update such information, a2network is entitled to independently obtain the necessary information at the expenses of the customer.
7.2. The customer has to ensure that the services are used only by the customer or “a third person” ( to which the customer has given authorization to use the services)
8. Blockage/Suspension of SIM card
8.1. a2network is entitled - in particular to protect the customer against unauthorized usage- to lock the customer’s access to the mobile radio nets completely or temporarily in case of:
a) very unusual behavior is noticed (in particular abroad usage) and/or questionable abuse of the connection is suspected. Then a2network can require a security deposit before a renewed connection.
b) customer has not paid its due obligations and/or has not provided adequate security deposit according to section 6.
c) customer does not fulfill its obligations under section 7
d) a2network is made aware of questions regarding the customer’s creditworthiness or solvency at the end of the contract. Under these circumstances a2network can ask for a security deposit according to section 6.
8.2. An abusive use is suspected if the SIM card fee amount increases in high proportion compared to usual monthly due average amount.
8.3. A blockage of all SIM cards from the business connection can also be carried out by a2network in an emergency without notice when abusive use is suspected or due of any of the conditions under section 14 restrictive uses. As soon as the due amounts have been paid a2network examines the reconnection immediately.
8.4. During such a blockage the customer continues to be obliged to pay of the monthly basic charges and the agreed minimum turnover amount.
8.5. A blockage release or reactivation of SIM card will only be accepted during working days (Mondays through Fridays btw 9.00 and 18.00 o'clock.)
9. Services Interruption
a2network is entitled to temporarily quit the services or to limit them when any of the following interferences might occur:
a) the security of the net company; or
b) the maintenance of the net integrity. This concerns in particular serious disturbances of the net, the software or stored data; or
c) the Interoperability of the services; or
d) of the data protection
These shall in no event give rise to a customer’s claim for damages. A2network will limit the service settings or service restrictions within the scope of the technical possibilities to the affected service and inform the customer in accordance with §6 paragraph 3 TKV about the type, magnitude and duration of the service setting.
a2netrwork is further entitled to permanently discontinue its services towards the customer if the setting is based on official grounds or by court order. This shall in no event give rise to a customer’s claim for damages under legal arguments. A2network will immediately inform its customers in detail of such situation.
10. Reselling
A commercial resale of the services to a third person is prohibited. ‘Third’ for the purposes of these rules is deemed to also included enterprises linked to the customers (i. S.v. §15 the stock law). In case of a commercial resale a2network is entitled to issue an immediate cancellation notice of the contract.
11. Contract length and proper notice of cancellation
11.1. The contractual relationship is valid for the agreed contract term and is extended in each case by one month without when the customer demands discontinuing of the contractual relationship by letter.
11.2. Both parties can discontinue the contractual relationship by providing a term of notice of three months at the end of the respective contract term.
11.3 With contracts of a minimum term of twelve months or longer a2network is entitled to discontinue the contract with a 30 day notice for the first time following the expiration of the 6th. month after the of the end of the contract.
12. Unanticipated notice of cancellation and damage substitute
12.1. The parties to this contract are entitled to cancel the contract for serious cause provided immediate notice is furnished.
12.2 Serious cause shall be deemed to include:
a) delays on the payment by the customer of the invoice or any portion thereto for two months in a
row;
b) after the start of the contract, circumstances are known which raise considerable doubts as to the creditworthiness and solvency of the customer, and the customer in spite of requests has not provided , within two weeks, adequate security deposit according to section 6;
c) the insolvency or credit unworthiness of the customer becomes known.
12.3. If a2network exceptionally ends the contractual relationship for serious cause, it will charge the customer the fixed costs of the contract (in particular the minimum turnover basic charge) which would have resulted up to the end of the originally intended contract term. In this case the customer is not entitled to any damages. At the same time it is left up to a2network to prove further damages.
13. Construction of the D-or E net and local use
13.1. GSM-and UMTS mobile radio nets are still under construction. Hence, a use of the mobile radio nets and services dependent on net is not possible all over the country. The customer can find out about the respective state of the net through a2network.
13.2. An undisturbed service in GSM-or UMTS mobile radio nets can not occur for legitimate technical reasons from every location. This does not give rise to a claim by the customer against
a2network.
14. SIM card - liability for loss / abuse
14.1. The customer is obliged to ensure the safekeeping of the SIM card and the PIN. The loss of the SIM card is to be reported to a2network immediately. If the customer has to report a loss, he is liable for the resulting costs resulting in unauthorized use up to report of loss. Otherwise the customer is only liable for the connection costs resulting after report of loss. After report of loss to a2network any liability for the connection costs, except for gross negligence or intentional behavior, is deemed cancelled. The customer remains liable also during such an interruption for the payment of the monthly basic charge and an amount possibly agreed as a minimum turnover.
14.2. It is expressly forbidden to use SIM boxing or gateways to the Zusammenschaltung between festival nets and mobile radio nets (i. S.v. §3 No. 27 TKG telecommunication law). (Compare in addition also communication No. 204/2004 in the official gazette of the RegTP 13/2004.) As soon as a2network is aware of circumstances suggesting such use a2network is entitled to close all SIM cards of the customer until the incident is clarified.
14.3. If the customer disregards its agreed duties (according to preceding section 10 or 14.2), a2network is entitled to claim restitution damages at a rate of 1,250 Euros for every SIM card used contrary to the terms of the agreement. It is left to the customer to prove no or a lower damages, and it is left to a2network to prove a further damage.
15. Phone number retention (Mobile Number Portability)
15.1. The customer has (in case of an official service provider change) the possibility of retaining the phone number - provided it is technically feasible. This service must be paid for. This payment is also applicable if the retention of the phone number cannot be carried out after a2network attempted to do so without having to give customer any proof.
15.2. The customer has no claim to proportionate reimbursement of the costs already paid for this period of the contract. During the day of the retention the customer may experience short-term interruption of the telephony and use of the data services due to technical circumstances for that. a2network is not liable for these disturbances.
16. Liability
16.1. a2network shall be liable for restitution damages for whatever reason, only under the following circumstances:
a) intentionally or due to gross negligence, then for the full amount;
b) due to light negligence or breach of essential contractual duty, then only actual foreseeable damages typical of a contract such as this.
16.2. If the damage originated with the performance of the telecommunication services for the general public, a2network shall be liable under section 16.1 for property damages up to an amount of 12,500 Euros per customer, provided that the customer does not offer telecommunication services for the general public. Compared with the totality of the injury a2network’s liability shall be limited to 10,000,000 euros every damage-causing event. If compensation exceeds the previously mentioned amounts, which are to be prorated to several injured persons on account of the same event, the maximum limit amount of the damages is comprised all the claims for damages.
17. Data Protection
17.1. a2network is entitled to disclose data about the application, opening and ending of the telecommunication contract to Business Information Departments and to receive information about the customer from the same. Furthermore a2network has the right to inform Business Information Department the customer’s behavior, which violated terms of the contract (e.g., notice of cancellation because of delayed payment). The customer can obtain its business relation information from the Business Information Department.
17.2. a2network is entitled to disclose customer’s continuance and traffic data to collection agencies (engaged by contract) for the purpose of termination and the steps of the demand for payment.
17.3. The customer may receive, upon request, the addresses of the respective businesses mentioned in section 17.2 and 17.3 as well as detail information about the data protection.
18. Other arrangements
18.1. Other arrangements, in particular assurances or changes need to be in writing.
18.2. Any compensation from claims against a2network is effective only with indisputable or legally defensible claims. Claims based on the assertion of retention rights which are not subject to the same contractual relationship are excluded.
18.3. The rights and duties from this contract can be transferred to a ‘third person’ by the customer only after previous written approval by a2network.
18.4. a2network is entitled to transfer the contractual relationship in whole or in part to another enterprise. In this case the customer is entitled to the extraordinary notice of cancellation concerning contractual relationship. The right to cancel expires two weeks following receipt of notice regarding the contract transfer.
18.5. The contractual relationship is subject to the regulations of the Belgian laws with the exception of the regulations of his international private law.
18.6. Area of jurisdiction for all disputes from and in connection with the contractual relation is Brussels, if the customer is a private consumer, legal entity of the public right or public special estate or if it does not have a general area of jurisdiction in the jurisdiction (inside the country).
